    Terms of Service (USA)

    Version 2 • Effective September 10, 2026

    These Terms of Service (“Terms”) govern your access to and use of the website operated by Dutech Systems, Inc. (“Dutech,” “we,” “us,” or “our”), including dutechsystems.com and related pages, features, and online services that link to these Terms (collectively, the “Website”).

    Please read these Terms carefully. By accessing or using the Website, you agree to these Terms. Where Dutech provides an affirmative mechanism to accept these Terms, such as during account registration or another online process, your selection of that mechanism constitutes your acceptance of these Terms.

    If you do not agree to these Terms, you should not use the Website.

    If you access or use the Website on behalf of a company, government agency, or other organization, you represent that you have authority to act on behalf of that organization in connection with your use of the Website.

    1. Scope and Separate Agreements

    These Terms govern your use of the Website. They do not by themselves govern technology, consulting, professional, workforce, or other services that Dutech may provide under a separate agreement.

    Dutech's relationships with customers, suppliers, consultants, employees, candidates, business partners, and other parties may be subject to separate agreements, including master services agreements, statements of work, purchase orders, employment or consulting agreements, supplier agreements, workforce or staffing agreements, nondisclosure agreements, or other written agreements.

    If a separate agreement between Dutech and you or your organization applies to a particular subject matter and conflicts with these Terms, the separate agreement will control with respect to that subject matter.

    2. Purpose of the Website

    The Website provides information about Dutech, our technology and professional services, capabilities, solutions, professional opportunities, insights, business activities, and related matters.

    Unless expressly stated otherwise, information made available through the Website is provided for general informational purposes. Website content does not by itself constitute a commercial offer, professional advice, a commitment to provide services, or the creation of a customer, advisory, fiduciary, employment, partnership, joint venture, or other professional relationship.

    Descriptions of services, capabilities, technologies, experience, opportunities, or other information on the Website may change and may not be available in every location or circumstance.

    Any engagement to provide services is subject to the applicable agreement between Dutech and the relevant contracting party.

    3. Permitted Use of the Website

    You may access and use the Website for lawful business, professional, informational, employment-related, and other legitimate purposes consistent with these Terms.

    You may not use the Website in a manner that:

    • violates applicable law or the rights of another person or organization;
    • attempts to gain unauthorized access to the Website, accounts, systems, networks, or data;
    • interferes with, disrupts, damages, disables, or places an unreasonable burden on the Website or related systems;
    • introduces viruses, malicious code, harmful components, or other technologies intended to damage or interfere with systems or data;
    • impersonates another person or organization or materially misrepresents your identity or affiliation;
    • uses automated means to access, extract, scrape, copy, or collect Website content in a manner that materially interferes with the Website or violates applicable law;
    • attempts to circumvent security, authentication, access-control, or other protective measures; or
    • uses Website content in a manner that infringes intellectual-property or other proprietary rights.

    Dutech may take reasonable measures to protect the security, integrity, availability, and lawful operation of the Website.

    4. Accounts and Website Features

    Certain Website features may permit or require you to create an account or provide information to Dutech.

    You are responsible for providing information that is reasonably accurate and current and for maintaining the confidentiality of credentials associated with your account.

    You are responsible for activity conducted through your account to the extent reasonably attributable to your use or failure to safeguard your credentials. You should promptly notify Dutech if you become aware of unauthorized access to or use of your account.

    Dutech may suspend, restrict, or terminate access to an account or Website feature where reasonably necessary to protect security, investigate suspected misuse, comply with legal requirements, maintain Website operations, or address a material violation of these Terms.

    5. Information You Submit

    The Website may allow you to contact Dutech, request information, create an account, subscribe to communications, submit information regarding professional opportunities, or otherwise communicate with us.

    You are responsible for ensuring that information you submit is lawful and that you have the right to provide it.

    Personal information submitted through the Website is handled in accordance with Dutech's applicable Privacy Policy.

    Information submitted regarding employment or professional opportunities, including resumes, qualifications, experience, and related information, may be used to evaluate potential opportunities. Submission of such information does not guarantee an interview, engagement, placement, employment, or other opportunity.

    Unless Dutech has separately agreed in writing to confidentiality obligations, you should not submit unsolicited confidential business information, proprietary ideas, trade secrets, source code, inventions, or other information for which you expect Dutech to assume a confidentiality or compensation obligation merely because it was submitted through the Website.

    Nothing in this section alters confidentiality, intellectual-property, or other obligations contained in a separate written agreement with Dutech.

    6. Intellectual Property

    The Website and its content, including text, graphics, designs, photographs, images, videos, software, code, logos, trademarks, service marks, trade names, and other materials, are owned by or licensed to Dutech or their respective owners and may be protected by copyright, trademark, and other intellectual-property laws.

    Subject to these Terms, you may view, download, or print reasonable portions of publicly available Website content for your own lawful informational, professional, or internal business purposes.

    Except as permitted by applicable law or expressly authorized by Dutech or the applicable rights holder, you may not reproduce, modify, distribute, publish, publicly display, commercially exploit, create derivative works from, or otherwise use protected Website content in a manner that infringes applicable intellectual-property rights.

    No ownership interest in Dutech's intellectual property is transferred to you through your use of the Website.

    Dutech names, logos, trademarks, service marks, and branding may not be used in a manner that suggests sponsorship, endorsement, affiliation, or authorization without appropriate permission.

    Copyright Concerns

    If you believe that material available through the Website infringes a copyright that you own or are authorized to enforce, please contact Dutech through the Contact Us page on our Website and provide sufficient information for us to identify and evaluate the material in question.

    Dutech may remove or restrict access to material where appropriate.

    7. Third-Party Websites and Services

    The Website may contain links to websites, platforms, services, or resources operated by third parties.

    Such links may be provided for convenience or informational purposes and do not necessarily constitute Dutech's endorsement, sponsorship, or approval of the third party or its content, products, services, privacy practices, or terms.

    Dutech does not control third-party websites or services and is not responsible for their availability, content, security, or practices. Your use of third-party websites and services is subject to the terms and policies applicable to those third parties.

    8. Website Information and Disclaimer of Warranties

    Dutech makes reasonable efforts to provide useful and reliable information through the Website. However, Website information may contain errors, omissions, or information that becomes outdated.

    To the fullest extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis. Dutech does not warrant that the Website will always be available, uninterrupted, error-free, secure, or free from harmful components, or that Website information will always be complete, accurate, current, or suitable for a particular purpose.

    To the fullest extent permitted by applicable law, Dutech disclaims warranties arising solely from your use of the Website, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

    Nothing in these Terms modifies any warranty, service commitment, service level, remedy, or other obligation expressly provided under a separate written agreement between Dutech and a customer or other contracting party.

    Some jurisdictions do not permit certain warranty exclusions, so some of the foregoing exclusions may not apply to you.

    9. Limitation of Liability

    To the fullest extent permitted by applicable law, Dutech and its affiliates, and their respective officers, directors, employees, and agents, will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for loss of profits, revenues, business opportunities, goodwill, or data, arising out of or relating to your access to, use of, inability to use, or reliance upon the Website or its content.

    These limitations apply only to claims arising from or relating to the Website and these Terms. They do not replace or modify liability provisions contained in an applicable master services agreement, statement of work, employment agreement, supplier agreement, or other separate written agreement with Dutech.

    Nothing in these Terms excludes or limits liability to the extent such liability cannot lawfully be excluded or limited.

    10. Privacy

    Dutech's collection, use, disclosure, retention, and protection of personal information obtained through the Website are described in the applicable Dutech Privacy Policy.

    By using Website features that involve the submission of personal information, you acknowledge that such information will be handled as described in the applicable Privacy Policy and as otherwise permitted or required by law.

    11. Changes, Availability, and Termination

    Dutech may periodically modify, update, suspend, discontinue, or change portions of the Website, its content, or its features.

    Dutech may also update these Terms from time to time. The current version and its effective date will be made available through the Website.

    Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law. Where applicable law or the nature of a change requires additional notice or consent, Dutech will take the steps required under applicable law.

    Dutech may restrict or terminate access to the Website where reasonably necessary because of misuse, security concerns, legal requirements, operational needs, or a material violation of these Terms.

    Provisions that by their nature should continue after termination or cessation of Website use will remain effective to the extent applicable.

    12. Governing Law and General Terms

    These Terms and disputes arising from or relating to your use of the Website will be governed by the laws of the Commonwealth of Massachusetts, United States, without regard to principles of conflicts of laws, except to the extent another law is required to apply.

    To the extent permitted by applicable law, disputes arising exclusively from these Terms or use of the Website will be subject to the jurisdiction of the state and federal courts located in Massachusetts.

    These Terms constitute the agreement between you and Dutech regarding your use of the Website, together with any additional terms expressly presented for a particular Website feature. They do not supersede a separate written agreement between Dutech and you or your organization concerning other subject matter.

    If any provision of these Terms is determined to be invalid or unenforceable, that provision will be enforced to the extent permitted by law, and the remaining provisions will remain in effect.

    Dutech's failure or delay in exercising a right under these Terms does not waive that right or any other right.

    Headings are provided for convenience and do not affect interpretation of these Terms.
